Dismissal of an action under section 10(b) and 20(a) of the Securities Exchange Act against officers and directors of defendant-company is reversed and remanded, where: 1) the district court improperly struck portions of the third amended complaint because the discovery materials were not obtained or used in violation of the Private Securities Litigation Reform Act; and 2) the complaint adequately pleaded false statements and scienter.
