Dismissal of a putative securities class action is affirmed where plaintiffs failed to allege the sale of a security on their purchase of condominiums in the Hard Rock Hotel in San Diego, because: 1) plaintiff's failed to allege facts showing they were offered real estate and management contracts as a package; and 2) they did not allege facts showing they were induced to buy condos by the rental-management agreement.
