In investors' securities fraud class action in connection with a restatement of financial results of the company in which the investors had purchased stock, district court's dismissal of the action is: 1) reversed as to the dismissal of the third amended complaint where it adequately pleaded the section 10(b), section 20A and Rule 10-b claims; and 2) affirmed as to the dismissal of the section 20(a) claims because there is no underlying claim against the "controlled" person.
