WPP Luxembourg Gamma Three Sarl v. Spot Runner, Inc., 10-55401
In a securities fraud action, judgment of the district court dismissing complaint is affirmed where the it properly dismissed: 1) Rule 10b-5(a) and (c) fraudulent scheme claim against all of the defendants; 2) Rule 10b-5(b) fraudulent omissions claim against certain defendants; and 3) Rule 10b-5 insider trading claim against corporate-defendant. Judgment is reversed with respect to the dismissal of Rule 10b-5(b) omission claims against individual defendants.
