In a private securities fraud action, judgment of the district court is reversed where the court improperly denied Rule 12(b)(6) relief because a contract to which a defendant is a party, filed in conjunction with SEC reporting requirements and promising specific conduct by the defendant, cannot be used as the foundation for a securities fraud action by a nonparty to the contract.
