AM. TRAVELERS LIFE INS. CO. v. AIG LIFE INS. CO., 03-1019, 03-1020

Purchase agreement by which defendant sold its long-term nursing home healthcare insurance business to plaintiff obligated plaintiff to defend claims brought by an insured. Requiring plaintiff to indemnify defendant for attorney's fees and costs did not violate Pennsylvania public policy; district court's substantial reduction of defendant's claim for fees and costs was not an abuse of discretion.
