YARBOROUGH v. DEVILBISS AIR POWER, INC., 02-2693

Under Arkansas law, plaintiffs' reliance on an alleged oral guarantee not contained in the parties' written contract was not justifiable and would not support a claim for fraud in the procurement of the contract. Decision to halt sales could not form the basis for a claim for breach of implied covenant of good faith and fair dealing.
