Beck v. Dobrowski, 07-3967

In an action involving a shareholder's proxy vote, district court's judgment is affirmed where: 1) plaintiff's claim under Securities Exchange Act sec. 14(a) fails as the evidence is insufficient to show that the proxy solicitations contained misrepresentations or misleading omissions; and 2) the court properly declined to exercise jurisdiction over plaintiff's state law claims as an abstention by a federal court in favor of the state court where a parallel proceeding was pending.
