XCO INTERNATIONAL, INC. v. PACIFIC SCIENTIFIC CO., 03-1683

Where a liquidated damages clause in a contract specifies the same amount of damages regardless of the severity of the breach, the proper judicial remedy would be to limit it to those breaches for which it constitued a reasonable specification of damages.
