District court properly granted summary judgment to plaintiff's former employer; in asserting his entitlement to severance pay and a bonus under a "change of control" provision in the company's benefits plan, he failed to exhaust his administrative remedies. Court did not abuse its discretion in awarding the defendant sizeable attorney fees.
