Representation agreement, under which the plaintiff would receive commissions for trademark licensing agreements it negotiated on behalf of defendant vehicle manufacturer, did not entitle the plaintiff to a commission when the manufacturer entered into a joint venture agreement, essentially transferring its entire business, including its trademark, to a third party.
