DANA CORP. v. CELOTEX ASBESTOS SETTLEMENT TRUST, 99-4493, 99-4494

Where the terms of a stock purchase agreement required plaintiff to reimburse and indemnify a predecessor in interest to a settlement trust for "all obligations and liabilities of the Subject Corporation," plaintiff's predecessor had to suffer a damnification before plaintiff was required to indemnify for the subject corporation's tortious conduct.
