Before a Chapter 11 debtor in possession can assign an executory contract, Bankruptcy Code section 365(c)(1) requires that it obtain the nondebtor's consent to assume the contract and thereafter obtain the nondebtor's consent to assign the contract. The copyright holder did not consent to the debtor in possession's assumption of the software license agreement at issue.
