Under West Virginia Law, it is unclear whether a Letter of Intent to purchase a company is a binding agreement but, at the very least, such a letter may demonstrate that the parties agreed to negotiate in good faith towards filling in open terms, i.e., towards a mutually acceptable asset purchase agreement.
