In a bankruptcy appeal brought by the government, arising from a sale under 11 U.S.C. section 363, which allows a debtor to sell substantially all of its assets outside a plan of reorganization, the bankruptcy court's judgment is affirmed where neither of the cash payments for professional fees went into or came out of the bankruptcy estate, thus the cash was not subject to the Code's distribution priority.
