In this indemnification and advancement suit in which a portion of appellant-employer's By-Laws provide for indemnification and advancement to officers of the company, summary judgment on the advancement claim in appellee-employee's favor and denial of summary judgment on the indemnification claim in appellant's favor is: 1) vacated as to the advancement claim, where, in appellant's By-Laws, the term officer is ambiguous and the relevant extrinsic evidence raises genuine issues of material fact precluding summary judgment; and 2) affirmed as to the indemnification claim.
