The district court erred in vacating an order of the bankruptcy court reopening the subject proceedings, where: 1) the bankruptcy court had jurisdiction to reopen the proceedings; 2) the bankruptcy court did not modify the parties' Settlement Agreement, but only clarified that it did not void the purchase option; 3) the bankruptcy court's order was not a taking under the Fifth Amendment nor did the proceedings violate due process; and 4) an adversary proceeding is not required for a bankruptcy court to reopen a case.
