Seinfeld v. Becherer, 05-1321

Dismissal of a shareholder derivative suit contending that a corporation failed to make certain required disclosures in a proxy statement that solicited shareholder approval for a new stock option plan is affirmed where the district court did not err in holding that plaintiff failed to state a claim upon which relief can be granted.
