Affirming the district court's determination granting summary judgment to defendants in a case involving the IPO of Facebook where retail investors were customers of NASDAQ, the underlying securities claims against NASDAQ arose out of its provision of professional services, and as a result the claims were excluded from coverage pursuant to the Directors' and Officers' insurance policies.
