In an antitrust class action, alleging that Visa and MasterCard conspired to impose an artificially inflated interchange fee in violation of Section 1 of the Sherman Act, the district court's certified of two settlement-only classes and approval of the proposed class settlement is reversed where the plaintiffs were inadequately represented under F.R.C.P. 23(a)(4) and the Due Process Clause.
