Dismissal of plaintiffs' ERISA action brought against defendants, members of Lehman's Employee Benefit Plans Committee, alleging defendants breached their fiduciary duty to prudently manage the company's employee stock ownership plan by, among other things, failing to eliminate or curtail plaintiffs' investment in Lehman stock during the class period, is affirmed, where plaintiffs failed to plead a plausible claim that defendants breached their ERISA fiduciary duties.
