In a putative securities class action, dismissal of plaintiffs' complaint pursuant to Federal Rule of Civil Procedure 12(b)(6) for failure to state a claim is reversed where the district court erred in dismissing the complaint because plaintiffs plausibly alleged that material information was omitted from or misstated in, defendants' initial public offering registration statement and prospectus in violation of Sections 11 and 12(a)(2) of the Securities Act of 1933.
