Seinfeld v. Gray, 04-3475

Item 10 of SEC Rule 14a-101, which governs proxy statements relating to compensation plans, requires only the disclosure of those securities that could be issued to satisfy an employer's obligation to deliver shares when an option-holder exercises options under its compensation plan.
