WISDOM IMPORT SALES CO., L.L.C. v. LABATT BREWING CO. LTD., 02-7579

Approving a resolution, which integrates a new brand of beer into an existing distribution channel, by a simple majority vote and proceeding with the integration over plaintiff's negative vote breached a joint venture agreement. Denial of plaintiff's minority rights of corporate governance produces a damage that cannot be adequately remedied by a money judgment.
