MAZ Partners LP v. Shear, 17-1821
Affirmed the multi-million-dollar disgorgement order in favor the plaintiff and the take-nothing verdict in favor of the defendant. Plaintiff sought disgorgement based on findings that the defendant was not only a director but also a controlling shareholder. The court held that disgorgement was an available remedy and found no abuse of discretion when the district court made such an order that was designed to ensure defendant would not profit from such an order.
