Butler v. Balolia, 13-1329
Dismissal of plaintiff's complaint alleging breach of contract is vacated and remanded, where: 1) Washington law is controlling; 2) the Washington Supreme Court will in all probability recognize the enforceability of contracts to negotiate when it squarely confronts that issue; and 3) plaintiff has plausibly alleged that the Letter of Intent is a binding contract to negotiate that the defendant breached.
