In an insurer's suit for a declaratory judgment action seeking a ruling that it has no duty to defend or indemnify defendant in connection with the underlying lawsuit, district court's grant of summary judgment on defendant's indemnification claim in favor of the insurer and third-party is affirmed as, the plain language of the contract between defendant and the third party, interpreted to ascertain the manifest intent of the parties and to effectuate their purposes, does not require the third-party to indemnify defendant against the underlying claims in the lawsuit.
