In disputing the 1996 sale of his corporation to defendant, plaintiff adduced no evidence suggesting that an officer-purchaser of a company's stock has a burden, over and above the duty of establishing adequate disclosure, to prove to the jury that the sale was fair and reasonable to the seller in some general sense.
