Where a director of the debtor caused his wholly-owned company to pay down a debt owed to him, while ignoring a bigger debt owed to the debtor, the bankruptcy court properly found the director breached his duty of loyalty to the debtor, and properly disallowed director's claims against debtor on prepetition indebtedness.
