In an action to pursue state claims against defendant-Merrill Lynch for its role in fraud committed by a company that misappropriated funds while holding itself out to be an agent of Merrill Lynch, dismissal of plaintiff's second amended complaint is affirmed where: 1) plaintiff's state law claims are precluded by the Securities Litigation Uniform Standards Act of 1998; and 2) plaintiff failed to adequately plead a federal securities fraud claim.
