MONSANTO CO. v. BOUSTANY, 00-0037

The sale of plaintiff's subsidiary company resulted in a "Termination of Employment" of the sub's employees within the meaning of the employee incentive plan and option certificates at issue; hence, upon termination, 1) 1992 option certificates expired, and 2) sub employees had limited time periods within which to exercise their remaining options to purchase parent stock.
