Fundamental Long Term Care Holdings, LLC v. Cammeby's Funding LLC, 11-2252
Order declaring that the parties' Option Agreement unambiguously granted defendant the right to acquire a one-third interest in plaintiff upon payment of the strike price of $1,000, is affirmed, where a provision in plaintiff's Operating Agreement requiring a capital contribution upon issuance of membership units does not apply to the defendant's option exercise because: 1) the Option Agreement is unambiguous; and 2) this requirement was not included in the Option Agreement.
