On a certificated question from the Court of of Appeals for the Second Circuit seeking to know what actions constitute improper solicitation under the Von Bremen rule, court adopts not bright line rule, resorting instead ti a case-by-case analysis where the trier of fact must consider the principles underlying the rule in Mohawk and the factors involved within the relevant industry that may impair the good will conveyed by original seller.
