In breach of contract action arising from plaintiffs' acquisition of defendant, a company producing and selling phosphate products in Mexico, partial summary judgment for plaintiffs is affirmed as pre-closing water usage fees imposed on plaintiffs, as successor in interest to defendants, by an agency of the Mexican Government for more than $130 million, constitute taxes under the purchase agreement, which defendants were liable for.
