CORP. EXPRESS OFFICE PRODS., INC. v. PHILLIPS, SC01-2741

In contrast to an asset purchase, neither a 100 percent purchase of corporate stock nor a corporate merger affects the enforceability of non-compete agreements, thus by operation of law a surviving corporation in a merger assumes the right to enforce those agreements entered into with an employee of the merged corporation.
