Hildreth v. Castle Dental Centers, Inc., 195, 2007

In an action challenging judicial allocation of a corporation's fair value between preferred and common stockholders wherein the common shareholders contend that an issuance of preferred stock was void and the trial court erroneously valued preferred stock on an as-if-converted basis because there were insufficient authorized shares of common stock to permit the conversion, judgment is affirmed where: 1) the underlying preferred stocks were validly issued; and 2) the trial court acted within its discretion in its valuation of the two classes of stock.
