Gentile v. Rosette, 573, 2005

Summary judgment for defendants, former directors and a CEO, on minority shareholders' claim of breach of fiduciary duty arising from a particular self-dealing transaction is reversed where the claim was not exclusively derivative and could be brought by the former minority shareholders directly.
