Supreme Court of Delaware
Carlson v. State of Delaware, 448, 2005
A conviction on counts of selling unregistered securities and on a count of a sale by an unregistered agent is affirmed over meritless claims that: 1) the trial judge violated his right to a fair trial when he permitted the state to introduce an expert's legal opinion on the meaning of the term "security," as defined in the Delaware Code; and 2) that the Delaware Securities Act's definition of the term "security" is unconstitutionally vague.
