In a books and records action brought by a hedge fund under 8 Del. C. section 220 for various purposes, the complaint is dismissed because the hedge fund already had all necessary, essential, and sufficient information to determine whether or not to seek appraisal, did not have a proper purpose to investigate wrongdoing that allegedly occurred before it bought its shares (and, in fact, led to its decision to invest), and did not seek a stockholder list to communicate with other stockholders.
