In a dispute arising out of a separation agreement between a company and its director/employee, defendant's motions to dismiss for lack of subject matter jurisdiction and to dismiss two counts for failure to state a claim are denied where: 1) the court has subject matter jurisdiction pursuant to Section 111 of the Delaware General Corporation Law; and 2) plaintiff states a claim by pleading facts sufficient to provide reasonable grounds for relief.
