Court of Chancery of Delaware
Acciptier Life Sciences Fund, L.P. v. Helfer, 2057-N
In a suit brought to overturn the results of an uncontested corporate directors' election, summary judgment for defendants is granted, over a claim that the company's decision to place the announcement of the annual meeting in a press release devoted mainly to financial results constituted an inequitable manipulation of the corporation's election machinery, largely because the important annual meeting announcement was readily and easily available.
