Summary judgment is entered in favor of plaintiff, an independent producer and distributor of motion pictures and other entertainment, on all claims, affirmative defenses, and counterclaims in an action seeking declarations that: 1) defendant's board of directors will not become classified until defendant's annual stockholders meeting and that all of defendant's board seats are up for election at the meeting; 2) the board does not have the authority to amend defendant's bylaws; and 3) the board does not have the authority to amend defendant's certificate of incorporation without a shareholder vote.
