Gildor v. Optical Solutions, Inc., 1416-N

In a case brought by a preferred shareholder in an attempt to assert his preemptive rights to buy certain new preferred shares issued by defendant, a privately-held company in which he invested, summary judgment for plaintiff is granted where defendant failed to comply with the notice requirements of the relevant stockholder agreement in seeking to inform plaintiff of his opportunity to exercise his preemptive rights and participate in the new issuance.
