In a suit brought by a minority shareholder in a company against the majority shareholder, asserting direct and derivative claims arising from a dispute over management of the company and its assets, the trial court's grant of plaintiff's motion to disqualify counsel from representing any of the defendants is: 1) affirmed as to representation of the company; but 2) reversed as to counsel's representation of the majority shareholder where the trial court erred in focusing on counsel's duty of loyalty, not their continuing duty of confidentiality.
