Collateral estoppel barred plaintiffs' shareholders' derivative claim and class-action claim for quasi-appraisal, where: 1) a Delaware court had "adjudicatory authority" over both the parties and the subject matter before it; 2) the Delaware court judgment was a final judgment on the merits of the appropriateness of equitable relief; 3) the superior court retained complete authority to determine whether collateral estoppel applied to the issues resolved by the Delaware court; and 4) the collateral estoppel doctrine was properly applied to bar relitigation of the issue determined by the Delaware Court regarding the reach of its prior judgment.
