In a wrongful termination action against a Delaware corporation brought by its former CEO, it is held that the "internal affairs doctrine"--which would have made Delaware law applicable and negated the claim--did not apply, because removing an officer in retaliation for his complaints about possible illegal or harmful activity and breaches of ethical conduct goes beyond internal corporate governance and touches upon broader public interest concerns that California has a vital interest in protecting.
