In a fraud-in-the-inducement action against the general partners of the limited partnership: 1) the judgment against one of the general partners is affirmed, where he was jointly liable for his co-partner's concealment of material facts, since the defrauded company was an innocent third party, not an innocent limited partner; and 2) an award of attorney's fees to the assignee of the defrauded company's fraud claims is reversed, where the assignee had no claim to attorney fees because the company's assignment did not confer any rights under the limited partnership agreement.
