California Court of Appeal

Corrales v. Corrales, G043598

In an intra-family dispute arising from the dissolution of a business partnership and involving a complaint and cross-complaint for breach of contract, breach of fiduciary duty, fraud, conspiracy, misappropriation of trade secrets, and accounting, judgment of the trial court is reversed where the assumption that a one-person business partnership can exist under California's Revised Uniform Partnership Act, which underpins the monetary portion of the judgment, is erroneous. If a partnership consists of only two persons, the partnership dissolves by operation of law when one of them departs.
