In shareholder derivative and direct causes of action against defendant-corporation, judgment of dismissal is affirmed in part, reversed in part, and remanded where: 1) the court erred in sustaining defendant's demurrer to the derivative causes of action; and 2) the court correctly sustained the demurrer to plaintiff's direct cause of action for fraud.
