FOUNDING MEMBERS OF THE NEWPORT BEACH COUNTRY CLUB v. NEWPORT BEACH COUNTRY CLUB, INC., G030382

In a dispute over country club governing regulations, the trial court correctly construed a contract as extending a right of first offer only to a member organization in existence, and because none existed as of the date of the agreement to sell certain stock, defendant had no obligations under the right of first offer.
